1. Agreement
These terms apply when you use https://www.simb.dev or engage Simb Technologies for professional services. By paying an invoice, signing a statement of work (SOW), or instructing us to start work after receiving a written quote, you agree to these terms unless a signed agreement explicitly overrides them.
2. Services
We provide software engineering, systems integration, AI infrastructure, and managed systems services as described on our Capabilities page. Scope, deliverables, timeline, and price are defined in the quote or SOW agreed before work begins.
3. Quotes and changes
Your quote is based on your brief. Changes outside agreed scope require a written change order and may affect price and schedule. We will not bill for out-of-scope work without your approval.
4. Payment
- Project work: 50% before work starts, 50% on delivery unless otherwise agreed.
- Managed services: billed monthly in advance.
- Payment methods include bank transfer, UPI, and card payments processed by Razorpay.
Invoices are due on the date shown. We may pause work if payment is overdue after reminder.
5. Your responsibilities
You will provide timely access, decisions, and materials we need; maintain backups of your systems; and ensure you have rights to any content or credentials you share.
6. Intellectual property
On receipt of all fees, we assign to you the custom work product created under that SOW, excluding our pre-existing tools, libraries, and general know-how. Third-party open-source components remain under their licences.
7. Confidentiality
Each party will keep the other's confidential information secret and use it only to perform the engagement.
8. Limitation of liability
To the fullest extent permitted by law, our total liability is limited to the fees you paid us in the twelve months before the claim. We are not liable for indirect, consequential, or lost-profit damages.
9. Governing law
These terms are governed by the laws of India. Courts in Hyderabad, Telangana have exclusive jurisdiction.
